Acceptable Use Policy

This acceptable use policy (“Policy”) sets out the terms between you and us under which you may access and use our website at merchantwise.co.uk and any related subdomains, tools or content we make available through it (together, the “Site”).

This Policy applies to all users of, and visitors to, the Site and supplements our Terms of Website Use (available at merchantwise.co.uk/legal/terms) and our Privacy Policy.

1. Who we are and who this is for

  1. The Site is operated by PIER20 LTD (“we”, “us”, “our”). MerchantWise is a trading name of PIER20 LTD.
  2. PIER20 LTD is a company registered in England and Wales, with its registered office at 71–75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.
  3. The Site is intended only for business users established in the United Kingdom. By using the Site, you confirm that:
    1. you are acting in the course of your business, trade or profession and not as a consumer;
    2. you are accessing the Site on behalf of a business established in the UK; and
    3. you will use the Site solely for professional purposes related to that business.
  4. If any of the above statements are not true, you must not use the Site.

2. Prohibited uses

  1. You may use the Site only for lawful purposes and in accordance with this Policy and our Terms of Website Use.
  2. You must not use the Site:
    1. in any way that breaches any applicable local, national or international law or regulation;
    2. in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
    3. to send, knowingly receive, upload, download, use or re-use any material which does not comply with the content standards in section 4 of this Policy;
    4. to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
    5. to transmit unlawful material or material that is defamatory, threatening, discriminatory, extremist or which has the potential to radicalise others;
    6. to transmit material that infringes the intellectual property rights, privacy rights or other rights of any third party, or that is in breach of a legal duty owed to another party (such as a duty of confidence);
    7. to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful program or similar computer code designed to adversely affect the operation of any computer software or hardware;
    8. for any purpose that could damage our reputation or the reputation of our partners.
  3. You also agree not to:
    1. reproduce, duplicate, copy, modify, adapt, create derivative works from or re-sell any part of the Site or any of our tools, reports or Outputs in contravention of our Terms of Website Use;
    2. access without authority, interfere with, damage or disrupt:
      1. any part of the Site;
      2. any equipment or network on which the Site is stored;
      3. any software used in the provision of the Site; or
  4. any equipment, network or software owned or used by any third party;
  5. use any robot, spider, scraper, automated process or other means to access, query, copy or harvest data from the Site (including our tools, reports and Outputs) other than through the interfaces we provide;
  6. use the Site or any Outputs to create, train or improve any competing product or service without our prior written consent;
  7. misrepresent your identity or affiliation with any person or organisation, or misrepresent your relationship with us;
  8. attempt to reverse engineer, decompile, disassemble or otherwise derive the source code or underlying models of our tools, except to the extent expressly permitted by law.

3. Additional obligations when uploading data

  1. Some parts of the Site allow you to upload or input data, documents or other materials (including payment processor statements and financial figures) (“Uploaded Content”).
  2. You are responsible for all Uploaded Content you provide. You must ensure that Uploaded Content:
    1. is accurate and complete to the best of your knowledge;
    2. complies with applicable law in the UK and any country from which it is uploaded;
    3. does not infringe the rights (including intellectual property, confidentiality or privacy rights) of any third party; and
    4. does not contain any material that would breach the content standards in section 4.
  3. You must not upload or input:
    1. any content that you do not have the right or authority to use or disclose (for example, confidential information of a third party, where you lack permission to share it with us);
    2. full payment card numbers, card security codes (CVV/CVC), or any other data that would require us or you to comply with additional sector-specific security standards (such as PCI-DSS) which we have not agreed to support;
    3. “special category” personal data under UK data protection law (such as data relating to health, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, sexual orientation or sex life), except where we expressly agree in writing that our tools are suitable for that purpose; or
    4. personal data about individuals that is not strictly necessary for the operation of the relevant tool.
  4. You must not use any Uploaded Content or any Outputs in a way that is misleading, deceptive or likely to cause confusion, including:
    1. presenting Outputs as if they are audited financial statements or formal professional advice; or
    2. representing that Outputs are endorsed by us, by any regulator or by any third party, unless we have explicitly stated that this is the case.

4. Content standards

  1. These content standards apply to all Uploaded Content and to any other material you contribute to the Site, as well as to any interactive features we may make available from time to time (for example, comments on articles or feedback forms).
  2. Uploaded Content and other contributions must:
    1. be accurate (where they state facts);
    2. be genuinely held (where they state opinions); and
    3. comply with applicable law in the UK and in any country from which they are posted.
  3. Uploaded Content and other contributions must not:
    1. contain any material which is defamatory of any person;
    2. contain any material which is obscene, offensive, hateful or inflammatory;
    3. promote sexually explicit material or violence;
    4. promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
    5. infringe any copyright, database right, trade mark or other intellectual property right of any other person;
    6. be likely to deceive any person;
    7. be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
    8. promote any illegal activity;
    9. be threatening, abusive or invasive of another’s privacy, or cause annoyance, inconvenience or needless anxiety;
    10. be likely to harass, upset, embarrass, alarm or annoy any other person;
    11. be used to impersonate any person or to misrepresent your identity or affiliation with any person;
    12. give the impression that they emanate from us, if this is not the case; or
    13. advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

5. Suspension and termination

  1. We will determine, in our discretion, whether there has been a breach of this Policy through your use of the Site.
  2. Failure to comply with this Policy constitutes a material breach of the Terms of Website Use upon which you are permitted to use the Site, and may result in us taking any or all of the following actions:
    1. immediate, temporary or permanent withdrawal of your right to use the Site or any part of it;
    2. immediate, temporary or permanent removal of any Uploaded Content or other material contributed by you to the Site;
    3. issue of a warning to you;
    4. legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
    5. further legal action against you; and
    6. disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.
  3. We exclude liability for actions taken in response to breaches of this Policy. The responses described in this Policy are not limited, and we may take any other action we reasonably deem appropriate.

6. Changes to this Policy

  1. We may revise this Policy at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you.
  2. Some of the provisions contained in this Policy may also be superseded by provisions or notices published elsewhere on the Site (for example, in the Terms of Website Use or a specific tool description).
